Applicable NexSara Entity

If you use NexSara in India, the applicable NexSara entity is Fiidus Solutions Private Limited, which operates the NexSara platform and brand in India.

For users outside India, unless otherwise stated, the applicable NexSara entity is NexSara LLC.

This Service Provider Agreement (“Agreement”) is a legally binding contract between the applicable NexSara entity described below (“NexSara,” “we,” “our,” or “us”) and the individual or entity registering as a Service Provider (“Provider,” “you,” or “your”) on the NexSara platform.

By completing registration, submitting verification documents, or accessing the Provider dashboard, you agree to be bound by this Agreement.

1.1 Independent Contractor Status

Provider is an independent contractor and is not:

  • An employee of NexSara
  • An agent of NexSara
  • A partner or joint venturer
  • A franchisee

Nothing in this Agreement creates an employment, agency, partnership, or fiduciary relationship.

Provider has no authority to bind NexSara in any manner.

1.2 No Employment Benefits

Provider acknowledges:

  • NexSara does not provide wages, benefits, insurance, retirement plans, or tax withholding.
  • Provider is solely responsible for taxes, licensing, permits, and insurance coverage.

2. Platform Access & Scope

NexSara grants Provider a limited, revocable, non-exclusive license to use the platform to:

  • Create a public profile
  • Receive customer inquiries
  • Communicate with customers
  • Promote services

NexSara does not guarantee:

  • Volume of leads
  • Customer engagement
  • Income or revenue
  • Profile ranking or visibility

Platform access may be modified, suspended, or revoked at NexSara’s discretion.

3. Provider Representations & Warranties

Provider represents and warrants that:

  • All submitted information is accurate and truthful.
  • Provider possesses all required licenses, certifications, and permits required by local law.
  • Provider will comply with all applicable laws in their jurisdiction.
  • Provider maintains required insurance coverage (if applicable).
  • Provider has the legal authority to enter this Agreement.

Provider shall immediately notify NexSara of any regulatory suspension, license revocation, or legal restriction affecting service eligibility.

4. Verification & Compliance

Provider agrees to:

  • Submit accurate identity documentation.
  • Cooperate with background checks where legally required.
  • Provide updated documentation upon request.

Verification status:

  • Does not constitute endorsement.
  • May be revoked at any time.
  • May be re-reviewed periodically.

Failure to cooperate may result in suspension.

5. Service Standards & Conduct

Provider agrees to:

  • Deliver services consistent with advertised skills.
  • Honor confirmed bookings.
  • Communicate professionally and respectfully.
  • Maintain confidentiality of customer information.
  • Use customer data solely for service-related purposes.
  • Avoid discriminatory, harassing, or unlawful conduct.

Provider is solely responsible for:

  • Service performance
  • Service outcomes
  • Pricing agreements
  • Refund arrangements (Phase 1)

6. Payments

At this time, NexSara does not process or facilitate payments between Customers and Providers.

All payments for services are arranged and completed directly between the Provider and the Customer. NexSara is not a party to payment transactions and does not collect, hold, or distribute funds on behalf of Providers or Customers.

Because NexSara does not process payments, NexSara is not responsible for payment disputes, refunds, chargebacks, or financial disagreements between Providers and Customers.

NexSara reserves the right to introduce platform-based payment processing, service fees, commissions, or other transaction structures in the future. If such features are introduced, NexSara will provide appropriate notice and update these Terms accordingly.

7. Fees, Subscriptions, and Platform Services

NexSara may offer subscription plans, premium features, verification programs, advertising services, featured placement opportunities, and other paid platform services.

Providers who enroll in paid services agree to pay all applicable fees, taxes, and charges associated with the selected offering.

Subscription plans may renew automatically unless cancelled in accordance with applicable subscription terms.

NexSara reserves the right to modify pricing, subscription features, eligibility requirements, or available plans upon reasonable notice.

NexSara may also introduce additional monetization models in the future, including lead fees, commissions, transaction fees, advertising services, featured placement opportunities, or other marketplace-related charges.

7.1 Subscription Benefits

Subscription plans may provide access to enhanced platform functionality, profile customization, visibility tools, lead management capabilities, analytics, verification opportunities, advertising services, or other marketplace features.

Subscription benefits may vary by plan and may be modified, expanded, suspended, or discontinued at NexSara's discretion.

Subscription status, verification status, advertising services, or premium features do not guarantee:

  • Customer inquiries;
  • Lead volume;
  • Bookings;
  • Revenue;
  • Search ranking;
  • Profile visibility; or
  • Business success.

Providers acknowledge that marketplace performance depends on many factors outside NexSara's control.

8. Provider Marketing and Profile Content

Provider authorizes NexSara to display, promote, advertise, feature, and distribute Provider profile information, business details, service descriptions, portfolio content, reviews, ratings, and related marketplace content through the Platform and NexSara marketing channels for purposes of operating and promoting the marketplace.

9. Intellectual Property & Content

Provider retains ownership of uploaded content but grants NexSara a:

  • Worldwide
  • Non-exclusive
  • Royalty-free
  • Transferable license

to display, promote, and distribute Provider content for marketplace purposes.

Provider warrants uploaded materials do not infringe third-party rights.

10. Data Protection & Confidentiality

Provider agrees to:

  • Comply with applicable data protection laws.
  • Use customer information solely for legitimate service delivery.
  • Implement reasonable safeguards to protect customer data.
  • Not sell, share, or misuse customer data.

Misuse of data may result in immediate termination and legal action.

11. Suspension & Termination

NexSara may suspend or terminate Provider accounts for:

  • Fraud or misrepresentation
  • Harassment or misconduct
  • License or compliance violations
  • Repeated customer complaints
  • Platform integrity risks
  • Fraudulent payment activity, chargeback abuse, or attempts to circumvent subscription obligations.

Termination may occur without prior notice for serious violations.

NexSara’s decision regarding suspension is final.

12. Dispute Responsibility

Provider acknowledges:

  • NexSara is not a party to service agreements.
  • NexSara is not responsible for service disputes.
  • Provider bears sole responsibility for resolving customer disputes.

NexSara may review complaints solely to assess compliance with this Agreement.

13. Limitation of Liability

To the maximum extent permitted by law:

NexSara shall not be liable for:

  • Lost revenue, profits, business opportunities, or goodwill;
  • Reputational damage;
  • Customer disputes;
  • Business interruption;
  • Loss of data;
  • Indirect, incidental, consequential, special, exemplary, or punitive damages.

NexSara does not guarantee:

  • Customer inquiries or lead volume;
  • Bookings or customer engagement;
  • Revenue, profits, or business growth;
  • Profile visibility, search ranking, or marketplace exposure;
  • Verification approval or continued verification status;
  • Return on investment from subscription plans, advertising services, featured placements, verification programs, or other paid platform features.

Providers acknowledge that marketplace performance depends on numerous factors outside NexSara’s control, including service quality, pricing, responsiveness, competition, customer demand, geographic location, and market conditions.

NexSara’s total aggregate liability arising out of or relating to this Agreement shall not exceed the greater of:

(a) USD $100; or

(b) the total amount paid directly to NexSara by the Provider during the twelve (12) months preceding the event giving rise to the claim.

This limitation applies regardless of the legal theory asserted, whether based on contract, tort, negligence, strict liability, statute, or otherwise.

14. Indemnification

Provider agrees to indemnify and hold NexSara harmless from claims arising from:

  • Service performance
  • Regulatory violations
  • Misrepresentation
  • Customer disputes
  • Breach of this Agreement

15. Global Compliance

Provider is solely responsible for compliance with:

  • Local licensing laws
  • Tax obligations
  • Consumer protection laws
  • Employment regulations
  • Professional regulatory requirements

NexSara operates from the United States and does not assume regulatory oversight in Provider jurisdictions.

16. Arbitration & Governing Law

This Agreement is governed by Texas law.

Disputes between Provider and NexSara shall be resolved through binding arbitration in Texas, on an individual basis.

Class actions are waived.

17. Electronic Acceptance

By clicking “I Agree” during registration, Provider:

  • Acknowledges reading this Agreement
  • Agrees to be legally bound
  • Consents to electronic contracting

Electronic acceptance constitutes a legally binding signature.

18. Assignment

NexSara may assign this Agreement in connection with a merger, acquisition, or restructuring.

Provider may not assign rights without written consent.

19. Force Majeure

NexSara shall not be liable for delays or failures due to events beyond reasonable control.

20. Survival

Provisions relating to indemnification, limitation of liability, intellectual property, dispute resolution, and data protection survive termination.

21. Entire Agreement

This Agreement, together with the Terms of Service, Privacy Policy, Payment Policy, Refund & Cancellation Policy, and any applicable subscription terms, constitutes the entire agreement between Provider and NexSara.
